ESS Lifestyle Coaching LLC exists to provide education, coaching, leadership development, entrepreneurial support, community, recognition, and business-building systems for independent entrepreneurs. The Company promotes ethical leadership, personal growth, organizational stability, long-term thinking, and professional business practices. ESS Lifestyle Coaching LLC is not an employer, securities offering, investment company, or passive income program.

Members agree to: • Act honestly and ethically. • Conduct themselves professionally. • Follow all applicable laws. • Comply with all Company policies. • Respect fellow members, coaches, leaders, vendors, and prospects. • Protect the reputation of ESS Lifestyle Coaching LLC. Members shall not engage in conduct that is deceptive, unlawful, abusive, harassing, disruptive, defamatory, or detrimental to the Company or its members.

Members are independent participants. Members are not: • Employees • Agents • Partners • Franchisees • Legal representatives of ESS Lifestyle Coaching LLC Members may not legally bind the Company or make commitments on its behalf. Each member is responsible for: • Taxes • Licenses • Regulatory compliance • Personal business decisions • Marketing activities

Any and all awards, rewards, recognition, leadership benefits, compensation pools, incentives, bonus opportunities, advancement programs, and membership benefits offered by ESS Lifestyle Coaching LLC shall be based upon legitimate business-development activities including, but not limited to: • Developing and maintaining a paying membership base within ESS Lifestyle Coaching LLC. • Sales activity involving ESS Lifestyle Coaching LLC products and services. • Participation with approved vendor companies. • Leadership development. • Training participation. • Organizational support. • Community contribution. • Team development. • Member retention efforts. ESS Lifestyle Coaching LLC does not compensate any member solely for recruiting, sponsoring, or enrolling individuals. The Company reserves the right to modify qualification standards, recognition programs, benefits, compensation pools, and advancement criteria as necessary to maintain legal compliance and organizational effectiveness.

ESS Lifestyle Coaching LLC makes no guarantee regarding: • Income • Profits • Financial freedom • Rank advancement • Vendor performance • Vendor products and services • Business success Results vary based upon effort, leadership, consistency, skill, market conditions, and many other factors. Members may not make income claims, lifestyle claims, or earnings representations that are false, misleading, exaggerated, or unsubstantiated.

The Company places a high value on: • Integrity • Respect • Gratitude • Teamwork • Long-term thinking • Ethical leadership Members shall conduct themselves in a manner that promotes organizational stability and cooperation.

ESS Lifestyle Coaching LLC seeks to create an environment where coaching, mentoring, leadership development, and team-building efforts are respected and protected. Members shall not knowingly interfere with another member's coaching relationships, sponsor relationships, or organizational structure. Members shall not engage in conduct designed to destabilize, weaken, divide, or improperly influence another member's organization including those involving any promoted vendor organization.

Except with the prior knowledge and consent of the member's sponsoring ESS Lifestyle Coaching LLC coach, members shall not knowingly solicit, recruit, sponsor, enroll, or attempt to enroll individuals from within another member's ESS Lifestyle Coaching LLC genealogy, organization, coaching group, success team, or downline into: • Network marketing companies • Affiliate marketing programs • Referral marketing opportunities • Coaching organizations • Business ventures • Vendor companies promoted through ESS Lifestyle Coaching LLC This policy is intended to promote organizational stability, integrity, and long-term cooperation among members. Nothing herein prohibits a member from sponsoring or enrolling individuals whom they personally introduced into ESS Lifestyle Coaching LLC. Members are encouraged to provide the sponsoring ESS Lifestyle Coaching LLC coach a reasonable opportunity to participate in discussions involving approved vendor opportunities before any reasonable exception to Article 8 is made for the benefits of members and E.S.S. as a whole.

It is strictly prohibited to sponsor, recruit, solicit, target, enroll, or knowingly attempt to enroll any current distributor, affiliate, member, or participant of Anovite into ESS Lifestyle Coaching LLC. Members shall not: • Cross-recruit active Anovite participants. • Interfere with existing Anovite organizational relationships. • Use insider access or team relationships for solicitation. However, enrollment into Anovite is permitted and encouraged where legally authorized, provided: • The individual has no existing Anovite affiliation when enrolled into ESS Lifestyle Coaching LLC. • Anovite legally operates within the applicable jurisdiction. • All applicable laws and company policies are followed.

Approved vendor companies operate independently of ESS Lifestyle Coaching LLC. The Company reserves the right to: • Approve vendors. • Reject vendors. • Add vendors. • Remove vendors. • Replace vendors. Participation with vendors is voluntary. No member possesses ownership rights in any vendor relationship.

Members shall market honestly and professionally. Members shall not: • Make false claims. • Guarantee income. • Guarantee results. • Misrepresent products, services, or opportunities. • Use deceptive marketing tactics. • Use fake testimonials. • Falsify earnings information. Members should identify themselves as "Independent Member of ESS Lifestyle Coaching LLC" where appropriate.

ESS Lifestyle Coaching LLC strongly encourages the use of third-party tools, presentations, videos, events, coaches, and leadership resources. Members are encouraged to utilize edification and third-party credibility rather than pressure-based selling techniques. The Company philosophy is: "We select, we do not sell. We qualify, we do not close." Always promote ethically.

Leaders are expected to: • Lead by example. • Promote unity. • Support team growth. • Encourage compliance. • Foster positive culture. • Protect organizational integrity. Leaders shall avoid: • Manipulation • Harassment • Intimidation • Abuse of authority • Misrepresentation

ESS Lifestyle Coaching LLC reserves the absolute right to suspend, restrict, revoke, or terminate any membership, leadership position, recognition status, benefit, participation privilege, or access to Company programs when the Company reasonably determines that a member's conduct is detrimental to: • ESS Lifestyle Coaching LLC • Company leadership • Company reputation • Team stability • Organizational unity • Member retention • Vendor relationships • The membership community Conduct deemed detrimental may include, but is not limited to: • Repeated disruption • Repeated conflict creation • Harassment • Defamation • Policy violations • Organizational interference • Conduct that undermines the effectiveness or stability of teams Membership is a revocable privilege and not a vested property right.

Members should first seek good-faith resolution whenever practical. Complaints may be submitted in writing to Company leadership. Upon review, the Company may take corrective action including: • Verbal coaching. • Written warning. • Suspension of privileges. • Removal of leadership positions. • Membership termination. Repeated violations following correction or warning may result in termination. The Company shall have sole discretion in determining appropriate corrective action.

ESS Lifestyle Coaching LLC may establish special recognition categories including: • Founding 500 • Founding 1000 Unless expressly stated otherwise in writing, Founding Member recognition: • Creates no ownership rights. • Creates no equity rights. • Creates no securities interest. • Creates no guaranteed compensation rights. Recognition status is non-transferable unless approved by the Company.

Any future retirement, annuity, savings, legacy, lifestyle, debt reduction or benefit programs established by ESS Lifestyle Coaching LLC shall be governed by separate program rules. Nothing within Company materials shall be construed as: • An investment offering. • A securities offering. • A guaranteed retirement plan. • A guarantee of future income. Participation in any future program may require qualification and ongoing compliance.

All Company trademarks, logos, systems, training materials, graphics, presentations, videos, documents, and branding remain the exclusive property of ESS Lifestyle Coaching LLC. Unauthorized use, reproduction, distribution, modification, or sale is prohibited.

ESS Lifestyle Coaching LLC reserves the right to amend, modify, replace, suspend, or terminate any policy, procedure, qualification standard, vendor relationship, compensation structure, recognition program, benefit, or operational rule at any time. Members are responsible for remaining informed regarding current Company policies.

ESS Lifestyle Coaching LLC reserves the right to interpret and enforce these Policies & Procedures. All decisions relating to: • Compliance • Discipline • Membership status • Recognition • Qualification • Vendor participation • Leadership standing shall be made by ESS Lifestyle Coaching LLC management, subject to applicable law. The long-term health, stability, integrity, and protection of the membership community shall remain a primary consideration in all Company decisions.
