Diamond Coach Program Addendum

1. Overview and Purpose

This Diamond Coach Program Addendum supplements and is incorporated into the ESS Lifestyle Coaching Terms of Use available at essenroll.com/terms. In the event of any conflict between this Addendum and the Terms of Use, this Addendum controls with respect to the Diamond Coach Program.

The Diamond Coach Program is an advanced, performance-based tier within the Exclusive Social Synergy (ESS) coaching community. Participation is not guaranteed and is subject to the qualification criteria, ongoing obligations, and ESS leadership approval described herein.

2. Qualification Criteria

To be considered for Diamond Coach status, a participant must meet all of the following criteria at the time of evaluation:

• Total Active Members: A minimum of 1,500 total active ESS members across all teams under the participant's coaching lineage.
• Team Duplication Structure: A minimum of 5 personally sponsored teams, each of which has duplicated to at least 5 sub-teams, each of those to at least 25, and each of those to at least 125 active members (the 5/25/125 Duplication Standard).
• Active Coaching Role: The participant must be actively fulfilling a coaching role within ESS, including regular participation in ESS coaching calls, Zoom sessions, and community engagement.
• Good Standing: The participant must be in full compliance with the ESS Terms of Use, this Addendum, and all ESS community standards at the time of qualification review.

ESS leadership retains sole discretion to evaluate, approve, or deny Diamond Coach status regardless of whether the numerical thresholds above are met.

3. Diamond Coach Program Benefits

Upon approval and for so long as a participant maintains Diamond Coach status in good standing, the following benefits may apply:

3.1 Paid Coaching Role

Diamond Coaches may be eligible for a paid coaching role within ESS. Compensation structure, amounts, and payment schedules are determined solely by ESS leadership and are subject to change with reasonable notice.

3.2 VaCay Cash

Diamond Coaches may be eligible to receive VaCay Cash — a travel and lifestyle benefit funded by ESS. The amount, frequency, eligibility conditions, and redemption process for VaCay Cash are determined by ESS leadership and are subject to modification or discontinuation at any time.

3.3 ESS Store Revenue Pool

Diamond Coaches may be eligible to receive a share of the ESS Store Revenue Pool, representing a portion of revenue generated through ESS-affiliated product and service sales. Allocation methodology, payment timing, and pool composition are determined by ESS leadership and are subject to change.

All benefits described in this Section 3 are discretionary, non-guaranteed, and may be modified, suspended, or discontinued by ESS at any time with or without prior notice. No benefit constitutes a guaranteed income, salary, or employment arrangement.

4. Ongoing Obligations

Diamond Coaches are expected to maintain the following obligations throughout their participation in the program:

• Active Engagement: Continued active participation in ESS coaching activities, community calls, and leadership responsibilities.
• Duplication Maintenance: Reasonable ongoing effort to maintain the team duplication structure that qualified the participant for Diamond Coach status.
• Community Standards: Full compliance with ESS community standards, including professional conduct, ethical coaching practices, and adherence to ESS values.
• Compliance: Ongoing compliance with the ESS Terms of Use, this Addendum, and any additional policies communicated by ESS leadership.

Failure to maintain these obligations may result in suspension or removal from the Diamond Coach Program at ESS's sole discretion.

5. Income and Earnings Disclaimer

IMPORTANT — PLEASE READ CAREFULLY.

Participation in the Diamond Coach Program does not guarantee any specific level of income, earnings, or financial benefit. The benefits described in Section 3 are performance-based and discretionary. Results will vary significantly based on individual effort, team activity, market conditions, and other factors outside ESS's control.

Any income figures, lifestyle representations, or success stories shared in ESS materials, coaching calls, or community communications represent exceptional results and are not typical. Most participants will not achieve Diamond Coach status or the associated benefits.

Nothing in this Addendum constitutes a guarantee, promise, or representation of future earnings. ESS Lifestyle Coaching makes no warranty, express or implied, regarding the financial outcomes of participation in the Diamond Coach Program.

6. Status Changes, Suspension, and Removal

ESS reserves the right to modify, suspend, or terminate a participant's Diamond Coach status at any time, for any reason, including but not limited to:

• Failure to maintain the qualification criteria described in Section 2.
• Violation of the ESS Terms of Use, this Addendum, or ESS community standards.
• Conduct deemed by ESS leadership to be detrimental to the ESS community or brand.
• Changes to the ESS program structure, business model, or operational requirements.

Upon removal from the Diamond Coach Program, all associated benefits described in Section 3 will cease. ESS will make reasonable efforts to provide advance notice of status changes where practicable, but is not obligated to do so.

7. Program Modifications

ESS Lifestyle Coaching reserves the right to modify, restructure, or discontinue the Diamond Coach Program at any time, with or without prior notice. This includes the right to change qualification criteria, benefit structures, compensation arrangements, and program terms.

Material changes to this Addendum will be communicated through the ESS community channels and/or by updating this page at essenroll.com/diamond-coach-terms. Continued participation in the Diamond Coach Program following any such changes constitutes acceptance of the revised terms.

8. Independent Contractor Relationship

Participation in the Diamond Coach Program does not create an employment, partnership, joint venture, agency, or franchise relationship between the participant and ESS Lifestyle Coaching. Diamond Coaches are independent participants and are solely responsible for their own tax obligations, business expenses, and compliance with applicable laws and regulations.

Nothing in this Addendum shall be construed to make any participant an employee, agent, or legal representative of ESS Lifestyle Coaching for any purpose whatsoever.

9. Governing Law

This Addendum shall be governed by and construed in accordance with the laws of the State of Idaho, consistent with the governing law provision in the ESS Lifestyle Coaching Terms of Use.

10. Entire Agreement

This Addendum, together with the ESS Lifestyle Coaching Terms of Use and Privacy Policy, constitutes the entire agreement between the participant and ESS Lifestyle Coaching with respect to the Diamond Coach Program and supersedes all prior understandings, representations, or agreements relating to the same subject matter.
